1. Introduction and Acceptance of Terms

Any proposal, quotation, statement of work, project brief, production schedule, invoice, or similar document issued by Northstar Motion Studio Ltd may supplement these Terms. 2. Scope of Services
Northstar Motion Studio Ltd provides creative and production services, which may include without limitation:
- motion graphics;
- video production;
- animated explainer videos;
- social media content creation;
- post-production editing; and
- brand visuals and digital assets.
The precise scope, deliverables, timelines, formats, usage rights, revision rounds, and any third-party materials will be defined in the applicable project brief, quotation, statement of work, or written confirmation. Any work outside the agreed scope may be treated as additional services and may incur extra fees.
We reserve the right to determine creative, technical, and production methods, provided such methods are reasonably aligned with the agreed project objectives.
3. User Obligations and Responsibilities
You agree to:
- provide accurate, complete, and timely information, materials, approvals, and feedback;
- ensure that any content, assets, instructions, logos, footage, music, voiceovers, trademarks, data, or other materials supplied by you are lawful, accurate, and do not infringe any third-party rights;
- obtain all consents, licences, releases, permissions, and clearances required for the use of any materials you provide or require us to use;
- review and approve deliverables promptly;
- co-operate with reasonable requests necessary for us to perform the services;
- not use our services for unlawful, defamatory, misleading, harmful, or fraudulent purposes; and
- comply with all applicable laws and regulations in connection with your use of the deliverables.
You are responsible for final legal, regulatory, and factual review of all content before publication, broadcast, distribution, or commercial use. Unless expressly agreed in writing, Northstar Motion Studio Ltd does not provide legal, compliance, or regulatory advice.
4. Payment Terms and Conditions
Unless otherwise stated in writing:
- all fees are quoted in pounds sterling (GBP);
- quotes are valid for the period stated in the quotation or, if no period is stated, for 30 days from issue;
- a deposit or upfront payment may be required before work commences;
- invoices are payable within the period stated on the invoice, or if no period is stated, within 14 days of issue;
- all fees are exclusive of VAT and other applicable taxes, unless expressly stated otherwise;
- bank charges, foreign exchange fees, and payment processing fees are your responsibility, unless we agree otherwise; and
- we may pause or suspend work if payment is overdue or if required information and approvals are not provided.
Late payments may accrue interest at the statutory rate permitted by applicable law, or such other rate as may be specified in a signed agreement, together with reasonable recovery costs. Title to any deliverables may remain with Northstar Motion Studio Ltd until all outstanding sums have been paid in full, to the extent permitted by law.
Unless otherwise agreed in writing, fees are non-transferable and all amounts paid are non-refundable except where required under these Terms or by applicable law.
5. Cancellation and Refund Policy
You may request cancellation of a project by giving written notice to Northstar Motion Studio Ltd. Cancellation does not release you from liability for work already performed, costs already incurred, or commitments made on your behalf.
If a project is cancelled, you will be responsible for:
- all work completed up to the date of cancellation;
- all approved or ordered third-party costs, licences, stock assets, contractors, and production expenses;
- any non-cancellable commitments or reservation fees; and
- where applicable, a reasonable cancellation fee reflecting loss of scheduled capacity and administrative time.
Refunds, if any, will be assessed case by case and are limited to amounts already paid for work not yet commenced, less any non-recoverable costs and applicable cancellation charges. No refund will be due for completed work, approved drafts, or delivered materials, except where required by mandatory law or expressly agreed in writing.
If a project is delayed, paused, or abandoned due to your failure to provide required materials, feedback, or approvals, we may treat the project as cancelled after giving reasonable notice, and the above cancellation terms will apply.
6. Liability Limitations
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.
Subject to the above, Northstar Motion Studio Ltd shall not be liable for:
- indirect, incidental, special, consequential, or punitive losses;
- loss of profits, revenue, business, goodwill, anticipated savings, or data;
- losses arising from your failure to obtain permissions, approvals, or clearances;
- third-party claims arising from materials supplied by you or from modifications made by third parties;
- losses caused by inaccurate, incomplete, or late information supplied by you; or
- use of deliverables contrary to our instructions or agreed usage rights.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any project, whether in contract, tort, negligence, misrepresentation, or otherwise, shall be limited to the total fees paid by you to Northstar Motion Studio Ltd for the specific services giving rise to the claim during the 3 months preceding the event first giving rise to liability, or such other amount as may be stated in a signed agreement.
We do not warrant that deliverables will be error-free, uninterrupted, or meet every possible subjective expectation. You acknowledge that creative services involve subjective judgment and that minor variations between drafts, previews, and final outputs may occur.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- all pre-existing intellectual property, including tools, workflows, templates, processes, know-how, software, scripts, project files, methodologies, and design systems used or developed by Northstar Motion Studio Ltd remain our property or that of our licensors;
- all client-provided materials remain your property or that of your licensors;
- upon full payment of all amounts due, you receive a non-exclusive, worldwide licence to use the final deliverables for the agreed purpose and media, subject to any third-party licences and restrictions;
- source files, project files, editable files, raw footage, and working files are not included unless expressly stated in writing;
- we may retain ownership or licence rights in underlying elements, unused concepts, drafts, and rejected proposals;
- third-party assets, stock media, fonts, music, or software may be subject to separate licence terms, which you agree to comply with.
Unless you object in writing, you grant Northstar Motion Studio Ltd a non-exclusive, royalty-free licence to use your name, logo, and the final deliverables solely for the purpose of portfolio display, case studies, social media, presentations, and marketing materials, provided such use does not disclose confidential information. If confidentiality restrictions apply, they must be agreed in writing.
8. Data Protection and Privacy
Northstar Motion Studio Ltd will process personal data in accordance with applicable data protection laws and our privacy practices. We will use personal data only as necessary to provide services, manage client relationships, process payments, communicate with you, maintain records, and comply with legal obligations.
You acknowledge that in the course of delivering services we may receive personal data contained in scripts, footage, images, voice recordings, contact details, analytics, or other project materials. Where required, the parties shall cooperate to determine their respective roles as controller, processor, or equivalent under applicable law, and to enter into any appropriate data processing agreement.
You warrant that you have all necessary notices, consents, and lawful bases to supply personal data to us and to permit us to process it for the purposes of performing the services.
We implement reasonable technical and organisational measures designed to protect personal data, but no system can be guaranteed to be completely secure.
9. Force Majeure
Northstar Motion Studio Ltd shall not be liable for any delay or failure to perform any obligation to the extent caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, war, terrorism, civil unrest, labour disputes, power failures, internet outages, equipment failure, governmental action, or the failure of suppliers or contractors.
If a force majeure event occurs, the affected obligations will be suspended for the duration of the event. If the event continues for a prolonged period and materially affects the project, either party may terminate the affected services by written notice, and you will remain liable for work performed and costs incurred up to the date of termination.
10. Changes to Terms
Northstar Motion Studio Ltd may update or revise these Terms from time to time. Any changes will take effect upon posting on our website or upon notice to you, unless a different effective date is stated.
If you continue to use our services after the revised Terms take effect, you will be deemed to have accepted the updated Terms. Changes will not apply retroactively to a fully executed statement of work unless expressly agreed in writing or required by law.
11. Applicable Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
Subject to any mandatory legal rights, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, claim, or matter arising out of or in connection with these Terms or the services provided by Northstar Motion Studio Ltd.

13. Severability Clause
